What exactly are they negotiating? Other than money what can Musk offer the existing board? Governance terms for private Twitter?

I saw articles saying they’re negotiating a fee if the deal falls through, but if Musk only has to pay if he backs out, and he’s sincerely interested in buying, why would that be an issue?

Just because he doesn't plan on backing out doesn't mean it is wise to agree to give his first-born if the deal falls through. You with these contracts very carefully, in case of unforseen events.

What happens if all of the sudden those who are funding him pull out?
