He can only back out if he has a legitimate reason, but still needs to pay the fee?
He can only get out if the “Material Adverse Effect” clause is triggered or he can’t get financing. Otherwise, Twitter can force him to close. See sections 6.3(a), 4.6(a), 7.2(b) and 9.9(b) of the merger agreement.

I think there’s 2 major issues with spam bots.

1. Fake followers make someone look more popular than they really are
2. Bots posting spam or other content to manipulate opinions

For me the 2nd concern is far greater, and the best way to measure is to look at the ratio of bot tweet impressions vs real people.

Why? Current TSLA valuation is very low, I don't see how it can go much lower.

Not necessarily. They’re the plaintiff, Elon is the defendant. They’re suing him for breach of contract (or maybe it’s called something else in this case). I would assume they only have to defend the claim if he can prove to the court’s satisfaction that it has merit. If it looks really bad they could somehow settle or drop the lawsuit. They’ll probably have a lot of this figured out before deciding to sue him.

(Baseless conspiracy theory) A couple of months back, Elon decides that Twitter really is evil, so after confirming that Twitter is more than 5% bots he hatched a plan to send them to MySpace land. He psyches everybody up with his big offer, and at the last second, he leaks audio that Twitter doesn't believe in free speech. He then gets out of the deal for nothing, using the bots as his escape.

Now that Twitter is on the way down, he buys out TS and lets ppl know that TS is the way to go. TS overtakes Twitter and we look back at this moment in 20 years as the moment that brought free speech back in the US.
