If I received a Amex retention offer on 5/11/21 when can I safely downgrade it without fear of a clawback?

Yes as long as that is the most recent activity on your card. If, for example, you upgraded the card after accepting a retention offer then you would need to wait 1 year after the upgrade date.

I dispute a transaction (few thousand dollar), after 3 months my CC refund me the full amount,

One nuance I'd like to understand better is whether the 1-year clock is counted from date of offer acceptance, versus date the offer was credited to your account.

Was wondering this as well. In this case it was the same date as there was no spend requirement.

Also, does anyone know if Amex tends to punish people that add authorized users for bonus points, and then close the account in less than a year...For example, lets say I signed up for an amex CC in Apr'21, then in Jan'22 I added an AU for 10K MR...can I still close the account (both primary card and AU) in May of 2022?

No issue there as I upgraded shortly before the retention offer.

This is not enough information. How much do you separately spend on airlines vs. hotels every year? "A lot" is way too vague.

You can easily get hotel status just by signing up for certain credit cards (for example the amex hilton cards).
You can spend on CC to get status with AA & DL

When canceling a ticket booked with amex travel which I already received the 35% points back on Amex Business Platinum. (flight was a refundable ticket)
