Dropbox conflict copy

My problem with Dropbox is if two people open the same document on different computers and try to save any changes Dropbox won't merge the document it will create two separate copies known as conflict copy. Are there any cloud company's that would function like most office servers which only allows for one person to make changes while the other person gets a read only copy? Free is good but I'd pay...

can you make a duplicate and put it into dropbox, and label it for reading only -
and label the other one for editing.. (and/or have 3 docs. One for reading only, one for Person #1 to edit. One for Person #2 to edit..)

How does drive help? I've been hearing it may work but how is it different?

In a nutshell: Google drive is like storing files online. (Word > Doc, Excel > Sheet, and more). You edit them in your browser. The biggest maala - many people  can edit the files at once, and everyone will see everyone else's changes as they happen. You don't have to worry about different versions of the file, because it's all one version.
Note: Google drive can be set up to sync the files to your computer, as well. You will still have to use a browser to edit them, though.
Workflowy. You won't know what you're missing until you try it.

If working with Microsoft office why not use skydrive? Sheets and formats are exactly the same and can sync automatically without copying and pasting.
